These Terms apply to both Consumers and Business Customers. Where specific clauses apply to Consumers or Businesses only, this is clearly stated.
Definitions
- Goods – Any equipment, tools, machinery, digital content or accessories supplied by us.
- Hire Goods – Goods hired to you.
- Sale Goods – Goods sold to you.
- Customer – The person or business ordering, hiring or purchasing goods.
- Contract – The agreement between the Customer and HST Solutions incorporating these Terms.
- Hire Period – The period during which Hire Goods are provided.
- Deposit / Rental Charge / Advance Payment – Payments associated with hired goods.
Basis of Contract
- Orders placed by you constitute an offer to hire or purchase Goods.
- A Contract is formed only when we issue written confirmation of the order.
- Marketing material and product images are for guidance only and are not contractual.
- These terms override any other terms you may provide.
Goods & Availability
- Goods may be updated or modified to comply with regulations or improvements.
- We reserve the right to substitute or adjust Goods where required, notifying you should significant changes occur.
Hire Terms
Hire Period
- The Hire Period starts on the commencement date specified in writing.
- Goods must be returned (or made available for collection) by the agreed end date.
- Late return may result in additional charges.
Title & Risk
- Hire Goods always remain our property.
- Responsibility for loss, theft or damage passes to the Customer once Goods are collected/delivered and continues until they are returned.
Insurance
Customers must:
- Maintain insurance covering damage, theft and public liability,
- Provide copies of insurance documents if requested,
- Pay any excess/deductible charges.
Delivery & Collection
- Unless agreed otherwise, you must collect and return Goods.
- Delivery and collection may incur additional charges.
- Missed delivery or access restrictions may result in extra fees.
- Risk remains with the Customer until inspected and confirmed received by us.
Customer Responsibilities
Customers agree to:
- Use Goods safely and for proper purpose,
- Follow operating and safety instructions,
- Protect Goods from damage, loss or theft,
- Notify us immediately of any damage, accident or fault,
- Ensure operators are qualified and trained,
- Not alter, repair or remove parts or labels
A charge may apply for repairs, cleaning or replacement if damage exceeds fair wear and tear.
Loss or Damage
- Lost or severely damaged goods must be paid for at replacement value.
- Rental charges continue until notification of loss and during replacement assessment.
Sale of Goods
- Ownership of Sale Goods transfers only when full payment is received.
- Risk transfers upon collection or delivery.
- If sold to business customers, resale rights apply only in normal business use.
Payment
- Prices exclude VAT unless otherwise stated.
- Deposits / advance payments must be paid prior to goods release.
- Late payment may incur interest charges (business customers only).
Consumer Cancellation Rights
If you are a consumer purchasing remotely (online, email, phone):
- You may cancel within 14 days of receiving Goods.
- Refunds will be processed within 14 days once Goods are returned.
- Deductions may apply if Goods are returned used or damaged.
- No cancellation rights apply to digital content after download begins or to date-specific hire services.
Termination
We may terminate a contract immediately if:
- Payments are not made when due,
- There is a serious or repeated breach of contract,
- Insolvency or financial risk issues arise.
Upon termination, all goods must be returned immediately.
Warranties & Liability
- Goods supplied to business customers only include warranties stated in these Terms.
- Liability for consumers covers foreseeable loss only.
- We are not liable for: loss of profits, business interruption, indirect or consequential loss.
- Nothing limits liability for death or injury caused by negligence.
Force Majeure
We are not responsible for delays caused by events outside our control (e.g. fires, floods, strikes, war).
Governing Law
- These terms are governed by English law.
- Consumers may bring claims in England, Wales, Scotland or Northern Ireland.
